Hello! These Terms of Service ("Terms") outline the rules and understanding between you ("you", "the Client") and me, Rehuel Lobato de Mesquita ("I", "me", "my"), regarding the use of my website (rehuel.cz) and the services I offer.

By accessing my website or using my services, you agree to these Terms. Please read them carefully. If you don't agree with them, please don't use my website or services.

• Who I Am: I am Rehuel Lobato de Mesquita, a self-employed individual (IČO: 21870837) based at Nové sady 988/2, 602 00 Brno, Czech Republic.
• What I Offer: I provide Web Services (including Website Maintenance, Website Development, Business Email Setup, Free Website Checkups) and Sounding Board Sessions (for Individuals and Business Owners). Detailed descriptions of each service are available on the respective pages of my website.
• My Approach: I aim for clarity, structure, and practical support, delivered honestly and transparently.

• Eligibility: You must be legally capable of entering into binding contracts to use my paid services.
• Information You Provide: You agree to provide accurate, current, and complete information when requested (e.g., for contact forms, service requests, billing).
• Website Use: You can browse my website freely. Please don't misuse it (e.g., attempt unauthorized access, disrupt services, use content unlawfully).

• General: Specific details, scope, deliverables, and pricing for paid services will be outlined in a separate written agreement or proposal we both agree upon before work begins.
• Website Development:
  • Ownership: If you pay upfront, you own the website files upon final payment and launch. If you choose instalments, I grant you full usage rights while you pay; full ownership transfers once all installments are complete. You are always responsible for the legality and accuracy of the content you provide.
  • Instalments: Monthly instalments require an active Website Maintenance contract for the 12-month installment period. The maintenance part of the fee starts after launch. Canceling the maintenance contract early requires payment of the remaining website development balance.
  • Included Hosting/Domain/Email: These are included free for the first year. Renewal is free only if you have a subsequent 12-month maintenance contract active at the time of renewal. Otherwise, I'll notify you about renewal options (pay an annual fee or transfer to your own provider).
  • Client Content: You need to provide text, images, logo, etc. Delays in providing content may delay the project.
  • Exclusions: Development typically doesn't include logo/brand design, copywriting, custom photography (unless stock images are sourced separately), custom graphics, legal document drafting (though basic templates might be offered, you're responsible for legal compliance), or advanced marketing/SEO unless specifically agreed upon.
• Website Maintenance:
  • Scope: Services provided depend on the chosen plan (Essentials, Standard, Growth, Advanced).
  • Response Times: I respond during Czech business hours (Mon-Fri, excluding holidays) within the timeframe specified for your plan (12-48 hours). Urgent issues affecting site functionality will be addressed as soon as reasonably possible, regardless of plan.
  • Fair Use (Advanced Plan): "Unlimited tasks" means reasonable, routine tasks spread out. Complex requests might require discussion.
• Business Email Setup:
  • Service: One-time setup of email on your domain, including DNS configuration.
  • Support Credits: Optional post-setup support is available via pre-purchased credits. Each credit covers 15 minutes of email-related technical support. Credits expire after 12 months.
• Sounding Board Sessions:
  • Nature: These are structured conversations for clarity and direction, not therapy or long-term coaching.
  • Confidentiality: I treat our conversations as confidential. However, this is not legally protected like therapy. I won't share details unless required by law.
  • Booking & Cancellation: A brief introductory call ensures we're a good fit. Payment confirms your booking. Cancellations over 48 hours before get a full refund. Cancellations under 48 hours are non-refundable. Rescheduling under 48 hours incurs a 50% fee.
  • In-Person: Available upon request; travel, accommodation, and room rental costs are extra and agreed upon beforehand.
• Free Website Checkup:
  • Nature: A manual review of public-facing elements, provided free with no obligation. I aim to deliver the report within 3 working days.

• Currency: Prices are listed in Czech Koruna (CZK) or Euros (EUR) as indicated on the service pages.
• Invoicing: Invoices will be issued for all paid services according to the agreed schedule (e.g., upfront, milestones, monthly).
• Due Dates: Payments are due according to the terms on the invoice or in our agreement. Late payments may result in service suspension.
• Payment Methods: Accepted payment methods will be specified on the invoice (likely bank transfer).
• Taxes: Prices shown may not include VAT unless stated. As a self-employed individual, my VAT obligations depend on current thresholds and regulations. Invoices will clearly state any applicable VAT.

• My Content: The content on my website (text, graphics, logo, code - excluding client-provided materials) is my property or licensed to me and is protected by copyright.
• Your Content: You retain ownership of the content you provide me for your website or services. You grant me a license to use it solely for the purpose of providing the agreed services.
• Website Development IP: As stated in section 3, website ownership transfers to you upon full payment.

I respect the confidentiality of the information you share with me, especially during Sounding Board sessions or when discussing business strategies. I will not disclose your confidential information to third parties, except as necessary to provide the services (e.g., to hosting providers under confidentiality agreements) or if required by law.

• No Guarantees: While I strive to provide high-quality services, I cannot guarantee specific results (e.g., specific search engine rankings from SEO upkeep, specific business outcomes from Sounding Board sessions). My services are provided "as is."
• Third-Party Services: I may use or recommend third-party services (e.g., hosting, email providers like Zoho, analytics tools). I am not responsible for the performance, availability, or terms of these third-party services.
• Limitation of Liability: To the maximum extent permitted by law, my total liability to you for any claims arising from or related to these Terms or my services will be limited to the amount you paid me for the specific service giving rise to the claim in the preceding 12 months. I am not liable for indirect, incidental, or consequential damages.

• Website Use: These Terms apply as long as you use my website.
• Service Agreements: The duration and termination conditions for specific services (like Maintenance contracts) will be detailed in our separate agreement.
• Termination by Me: I reserve the right to suspend or terminate services if you breach these Terms or our service agreement (e.g., non-payment, misuse).
• Termination by You: You can stop using free services or the website at any time. Termination of paid services is governed by our specific agreement (e.g., notice periods for maintenance, payment obligations for development instalments).

These Terms are governed by the laws of the Czech Republic. We agree to first try to resolve any disputes amicably through direct communication. If we cannot reach a resolution, any legal proceedings will be conducted in the competent courts of the Czech Republic.

I may update these Terms occasionally. The "Last Updated" date at the top will indicate the latest version. Continued use of the website or services after changes means you accept the new Terms. I recommend checking this page periodically. For significant changes affecting ongoing services, I will strive to notify you directly.
